In the event that you have a dispute with one or more such parties, you release UNIVERMAG.COM (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
AdvertisingUNIVERMAG.COM provides ads management capabilities on the Site, but maintains no relationship with third party advertisers. Reference to any specific service or trademark is not controlled by UNIVERMAG.COM and does not constitute or imply its association, endorsement or recommendation.
Merchant ObligationsIf you have a Merchant account, you will be responsible for all goods and services offered at your Boutiques, all materials used or displayed at your Boutiques, and all acts or omissions that occur at your Boutiques or in connection with the listing of your Boutiques hereunder.
You agree to display contact information in your Boutiques, including your company name, address, telephone number, fax number and e-mail address, and to keep the information true and accurate.
You represent and warrant that you have full power and authority under all relevant laws and regulations to offer and sell the goods and/or services offered at your Boutiques, to copy and display the materials used or displayed at the Boutiques, and to provide for payment and delivery of goods or services as specified at the Boutiques.
You agree that you will not engage in any activities that constitute or encourage a violation of any applicable law or regulation, including but not limited to the sale of illegal goods or the violation of export control or obscenity laws; that defame, impersonate or invade the privacy of any third party or entity; that infringe the rights of any third party, including but not limited to the intellectual property, business, contractual, or fiduciary rights of others; or that are in any way connected with the transmission of "junk mail" "spam" or the unsolicited mass distribution of e-mail, or with any unethical marketing practices.
FeesYou will pay UNIVERMAG.COM listing and performance fees for the services you select, at the rates set forth in the Directory fee schedule and made a part hereof. All such fees are payable in U.S. dollars to UNIVERMAG.COM and will be invoiced or charged to the credit card number given to us at the time of registration or to such other credit card number which you may designate, on a monthly basis. If invoiced, payment is due upon receipt of invoice. All fees are payable in U.S. dollars. Late payments will bear interest at the rate of one percent (1%) per month (or the highest rate permitted by law, if less). If you fail to make any payment when due, you agree that you will be responsible for all reasonable expenses (including attorneys' fees) incurred by us in collecting such amounts. We may also, upon 30 days prior notice to you, alter our fee schedules.
Use RestrictionsYou may not engage in any activities through the web site which are unlawful, offensive, abusive, which violate the rights of third parties, or which inhibit other users from using and enjoying this web site. You may not monitor or copy Content on the web site, by using any robot, "bot", spider, crawler or other automatic device or manual process, without our written permission, or engage in any activity which interferes with the proper working of the web site. JurisdictionThe Site is controlled and operated by UNIVERMAG.COM Private Enterprenership, which is licensed in the Republic of Kazakhstan. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the Republic of Kazakhstan. Any action you, any third party, or UNIVERMAG.COM brings to enforce this Agreement or, in connection with, any matters related to this Site shall be brought only in the state courts located in Almaty, and you expressly consent to the jurisdiction of said courts.
ModificationsUNIVERMAG.COM may at any time revise this Agreement by updating this posting. You are bound by any such revisions and should therefore periodically visit this page to review the then current terms and conditions to which you are bound.
OtherIf any provision of this Agreement is found to be void, unlawful or unenforceable for any reason, that portion shall be deemed severable from these terms and shall not otherwise affect the validity and enforceability of any remaining provisions. UNIVERMAG.COM reserves the right to pursue any remedy available to it at law or in equity if you breach this Agreement. This Agreement has been prepared in the English Language and such version shall be controlling in all respects and any non-English version of this Agreement is solely for accommodation purposes.
